Terms of Service

These Terms define the relationship between creators, sponsors and ReachSlot for reserved, measured placements on X profiles. They apply to the private pilot and must be accepted before a paid campaign is confirmed.

Plain-language position

A sponsor buys a defined placement, not a creator’s opinion and not a guaranteed result. The creator keeps the final say. ReachSlot is the marketplace and measurement layer.

Operator and scope

ReachSlot is operated by SUPERSOCKS COMPANIE, a French simplified joint-stock company with a sole shareholder (SASU), registered under SIREN 103 280 947 and SIRET 103 280 947 00013, with EU VAT number FR21 103 280 947 and registered office at 50 rue du Colisée, 75008 Paris, France (“ReachSlot”, “we”, “us”).

ReachSlot provides a professional marketplace where opted-in creators can offer time-limited advertising inventory linked to their X profiles and sponsors can submit offers. ReachSlot may verify delivery, measure redirects and facilitate payment. Unless a Campaign Order expressly says otherwise, ReachSlot is an intermediary and is not the creator, sponsor, employer, agent, bank or advertising platform.

ReachSlot is independent from X Corp. “X” and related marks belong to their respective owners. Use of ReachSlot does not create endorsement, partnership or approval by X.

Eligibility and accounts

The service is for business and professional use. You must be at least 18, have legal capacity, and be authorised to bind the person or organisation you represent. You must provide accurate identity, business, tax and payment information and keep it current.

Creators may only list an X profile they control. Sponsors must identify the legal entity, brand and final destination behind an offer. We may require identity, business, sanctions, tax, payment or account-control checks before accepting an account or campaign.

You are responsible for account security and activity performed through your account. Contact us promptly if you suspect unauthorised use.

How the marketplace works

  • A creator opens a listing with duration, availability, reserve price, accepted categories and exclusions.
  • A sponsor submits its identity, destination URL, offer amount, requested period and any exclusivity requirement.
  • ReachSlot may screen compatibility, legality, brand safety and destination security.
  • The creator chooses freely among eligible offers. The highest offer does not automatically win.
  • Only the accepted offer becomes a Campaign Order. Rejected or expired offers create no placement right.

The current product is one exclusive direct sponsor link for the agreed period. Multi-link pages and multiple sponsor positions are not included unless expressly stated in a future Campaign Order.

Campaign orders

Each accepted campaign creates a separate contract record (the “Campaign Order”) between the creator and sponsor, facilitated by ReachSlot. It should identify at least the parties, profile, approved URL and domain, placement format, start and end, price, service fee, taxes, disclosure, prohibited changes, cancellation rules and any country-specific requirements.

The creator supplies the placement to the sponsor. ReachSlot supplies marketplace, verification, reporting and payment-facilitation services. If a mandatory written influencer agreement or additional disclosure is required by local law, the parties must complete it before activation. For France, campaigns meeting the applicable statutory threshold require the prescribed written contract; ReachSlot may require a written Campaign Order below that threshold as a safety standard.

No party may change the approved destination, brand, creative intent or regulated category after acceptance without renewed approval.

Fees, payments and taxes

Sponsor service fee

Under the current pricing model, the creator’s accepted placement price is not reduced by a ReachSlot marketplace commission. The sponsor pays the placement price plus a progressive ReachSlot service fee and applicable taxes. The service fee is calculated on accepted placement value during the sponsor’s rolling twelve-month period:

These are marginal bands: each rate applies only to the part of spend within that band. Non-euro campaigns are converted using the exchange rate disclosed at checkout. A separately signed enterprise agreement may set different pricing. The full price, fee, currency and tax treatment must be shown before confirmation.

Payment flow

A licensed payment provider may collect or preauthorise the campaign total, run required KYC/KYB checks and release the creator payout after verified delivery. ReachSlot does not provide banking or escrow services and does not describe held funds as legal escrow. Processor terms may also apply.

Taxes and invoices

Prices exclude VAT, sales tax, GST and similar taxes unless stated otherwise. Taxes are added or reverse-charged as required by the customer’s status and location. Sponsors and creators must provide valid tax information. The creator remains responsible for taxes, social contributions and invoicing relating to the placement; SUPERSOCKS COMPANIE invoices its service fee where required.

Delivery and measurement

The creator manually installs and maintains the approved link and disclosure for the agreed period. ReachSlot may check destination, visibility and duration and may count redirect events using a campaign path. Current redirect measurement stores campaign, creator, sponsor and event time; it does not store IP addresses, user agents or visitor fingerprints.

ReachSlot guarantees neither profile visits, clicks, unique users, conversions, sales nor return on advertising spend. Public X metrics and X Analyzer outputs are contextual signals, not delivery guarantees. Unless a Campaign Order defines a different source of truth, ReachSlot’s placement and redirect records govern delivery reporting, subject to documented correction of technical errors.

Cancellations, refunds and disputes

  • Before creator acceptance: the sponsor may withdraw an offer without charge.
  • After acceptance but before activation: cancellation is governed by the Campaign Order and costs already incurred may be retained.
  • Creator non-delivery: if the creator does not activate or removes the placement early without an authorised reason, the sponsor receives a full or pro-rata refund for the undelivered period, including the corresponding part of the ReachSlot fee.
  • Sponsor fault: an unsafe, unlawful, misleading or materially changed destination may be suspended without refund for the delivered period.
  • Platform or force-majeure interruption: ReachSlot may reschedule, extend or refund the objectively undelivered part.

A party must raise a dispute with supporting evidence within seven days after the scheduled campaign end. Chargebacks filed in bad faith, duplicate recovery and manipulation of measurement are prohibited.

Advertising disclosures and X rules

Every paid placement must be clearly identifiable as advertising wherever the law or platform rules require it. The Campaign Order must define the disclosure. Creators and sponsors are independently responsible for complying with consumer, advertising, endorsement and influencer rules in every country they target.

If a creator publishes a post, mention or endorsement connected to a campaign, they must use X’s Paid Partnership disclosure where required and add any locally required wording. A profile link alone does not authorise a sponsor to claim that the creator recommends its product.

Use of X must comply with the X Paid Partnerships Policy, the X Rules and applicable X terms. X policies vary by country and may prohibit categories that are legal elsewhere.

Prohibited activity and categories

You may not use ReachSlot for unlawful, deceptive, discriminatory, infringing or harmful activity; fake identities or accounts; malware, phishing, cloaking or hidden redirects; manipulated clicks; undisclosed destination changes; sanctions evasion; or attempts to bypass platform controls.

During the pilot, campaigns are limited to approved lower-risk categories such as B2B SaaS, productivity, creator tools, media, events and non-regulated e-commerce. Crypto and financial promotions, gambling, politics, health claims, supplements, adult content, alcohol, tobacco, weapons, controlled substances and weight-loss products are prohibited unless ReachSlot introduces a separately reviewed country-specific programme in writing.

X data and X Analyzer

Creators must expressly opt in before their identity is connected to ReachSlot or scored by X Analyzer. Permitted information may include public profile fields, public posts, public engagement metrics, posting frequency, recent performance, momentum, content themes and historical ReachSlot campaign results.

X data may be used to help a sponsor assess an opted-in creator and a creator understand their own performance. It must not be used to infer sensitive traits, track individuals, create surveillance products or target people with advertising outside X. ReachSlot does not sell X content or X credentials.

Use of X data remains subject to the X Developer Policy and Developer Agreement. ReachSlot may remove, refresh or stop using X data to meet deletion, correction, licensing or policy requirements.

Creator tax reporting

Creator earnings may be taxable and may trigger social, invoicing, withholding or registration obligations. Where ReachSlot is legally treated as a reportable platform operator, it may collect and verify identity, address, tax residence, tax identification number, VAT status, business registration and payment totals, and report required information to tax authorities under DAC7, DPI or equivalent regimes.

Creators must provide accurate information and may receive an annual transaction statement. Failure to provide legally required information may result in delayed payout, restricted access or account closure. ReachSlot does not provide individual tax advice.

Content and intellectual property

You retain ownership of content and brand assets you submit. You grant ReachSlot a non-exclusive, worldwide, royalty-free licence for the term of your account to host, display, resize and use those assets only to operate, secure and promote the relevant listing or campaign.

You warrant that you have the necessary rights. ReachSlot owns its product, interface, software, reports and branding, excluding user content and third-party data. No licence to X marks or X content is granted beyond lawful display and attribution.

Suspension and termination

We may reject, pause or remove a listing, offer, link or account where reasonably necessary for safety, law, sanctions, payment risk, infringement, platform policy, misleading conduct, data rights or breach of these Terms. Where appropriate, we will state the reason and provide a route to contest the decision.

You may close your account subject to active Campaign Orders, unresolved disputes, legal retention and reporting duties. Provisions concerning payment, taxes, intellectual property, disputes and liability survive termination.

Risk, warranties and liability

ReachSlot is provided on an “as available” basis. To the maximum extent permitted by law, we do not warrant uninterrupted availability, creator or sponsor conduct, campaign performance, continued access to X data, or the legality of a campaign in every destination country.

Nothing excludes liability that cannot legally be excluded, including fraud or liability for death or personal injury caused by negligence where applicable. Otherwise, SUPERSOCKS COMPANIE’s aggregate liability arising from a Campaign Order is limited to the ReachSlot service fees paid for that Campaign Order; aggregate liability unrelated to one order is limited to service fees paid by the claimant in the preceding twelve months. Neither party is liable for indirect loss, lost profit, lost opportunity or reputational harm where exclusion is lawful.

You will indemnify SUPERSOCKS COMPANIE against third-party claims resulting from your unlawful content, destination, advertising claim, tax breach, infringement or material breach of these Terms, to the extent permitted by law.

International and country-specific terms

France / EEA

Mandatory French and EU advertising, platform, tax, privacy and consumer-protection rules apply where relevant. French-facing influence campaigns require clear commercial disclosure and may require a prescribed written contract.

United Kingdom

Creators and sponsors must comply with UK advertising disclosure requirements, including ASA/CAP and CMA guidance, and UK data-protection rules where applicable.

United States

Sponsors and creators must comply with FTC endorsement rules and applicable state privacy and advertising laws. ReachSlot does not waive non-waivable state rights.

Other countries

You must not open or target a campaign where the service, payment, category or advertising is unlawful. Local mandatory law prevails over a conflicting clause only to the required extent.

These regional summaries are not a complete country-by-country legal programme. ReachSlot may restrict countries or require a local addendum before accepting a campaign.

Governing law, changes and contact

These Terms and non-contractual obligations are governed by French law. Courts with jurisdiction over Paris, France have exclusive jurisdiction between business users, subject to mandatory local law and any separately agreed dispute process. Parties should first attempt good-faith resolution for 30 days.

We may update these Terms prospectively for legal, security or product reasons. Material changes will be notified before they affect a new Campaign Order. The version accepted for an existing Campaign Order continues to govern that order unless law requires otherwise.
